Clauselane

The small legal team's contract and matter register, worked before it is kept

Introduction

Every small legal team ends up keeping the company's contracts somewhere, and for most that somewhere is a shared drive, a spreadsheet and the general counsel's memory. Clauselane is two free worksheets and one paid record for the US legal team of one to five people in a company of fifty to five hundred. The first takes the contracts on the register, their average term, notice period and value, and returns the renewals and notice deadlines falling due in the window you choose and the value riding on them. The second takes one contract's term, months elapsed, notice period and value and returns its days remaining, the days until its notice deadline, its remaining value and what one renewal is worth. Both compute in the page with no account and no trial clock.

Keeping the register, not just working it out

The worksheet is the answer for one window today. Clauselane Pro is every contract, obligation, matter and clause, with the reminder before the deadline, for $49 a month for the whole legal team.

One place for every contract the company has signed
  • Every contract with its term, notice period, value and owner, on one list the business can see. A contract in a shared drive is a PDF nobody opens until it is too late. On the register it is a row with dates that count down, a value the finance team can total, and an owner who is asked before the deadline rather than after the renewal.
  • The reminder arrives before the notice deadline, not after the renewal. An evergreen clause renews the contract while nobody is looking, and the notice period is the only window in which the company can act. Pro counts the days to each notice deadline and reminds the owner in time, so the renewal is a decision rather than a discovery.
  • The clauses the company has already agreed, ready to assemble the next contract from. Every negotiated contract leaves behind clauses the team would sign again. The library keeps them by type, with the fallback positions, so a new contract is assembled from what has already been agreed instead of redrafted from the last PDF.
The free tools

Two worksheets, and between them they answer the two questions a contract register exists to answer: what is coming due, and what does this one contract commit us to. The contract tracking calculator is the register's view: the contracts on it over their average term is the renewals a month, times the window is the renewals and notice deadlines you have to act on, times the annual value is the money riding on them, and the share that auto-renews is the money that renews itself while nobody is looking. The legal contract lifecycle management sheet is the single contract's view: term less months elapsed is what remains, less the notice period is the deadline, and the annual value spread over the term is what is left and what one renewal adds.

  • Contract tracking calculator: Turn the contracts on the register into the renewals and notice deadlines due in the window you choose, the annual value riding on them and the value that renews itself unless notice is given, from your own count, term, notice period and value.
  • Legal contract lifecycle management sheet: Turn one contract's term, months elapsed, notice period and value into its days remaining, the days until its notice deadline, its value to date and remaining, and what one renewal is worth, from the contract's own terms.
Clauselane Pro

The worksheet gives you one window's deadlines and one contract's dates. Pro remembers them: the contracts, their obligations, the matters, the clauses, and the reminder that arrives before the notice deadline rather than after the renewal. Clauselane Pro is $49 per month for your whole legal team, billed monthly.
